We are searching for an experienced Corporate Lawyer to join their team in Alabama, to provide legal advisory on Corporate Governance, equity, and M&A.


This is a fulltime role, available on a hybrid working model, offering a competitive 6 figure salary.



Responsibilities


  • Organising and preparing for Board and Committee meetings.
  • Creating, managing, and implementing corporate governance and related policies.
  • Keeping the legal team updated on governance trends, SEC, and NASDAQ matters.
  • Assisting the stock administration department with equity issues and education.
  • Delivering legal training to management and business partners.
  • Supporting M&A activities, including deal structuring, planning, due diligence, drafting, negotiating agreements, and managing legal processes.
  • Assisting the legal team with commercial contracts, compliance, and special projects by coordinating with internal stakeholders, negotiating with external advisors, and consulting with outside counsel.
  • Providing strategic advice on corporate governance, M&A, SEC reporting, and litigation.
  • Assisting in cross-functional projects related to governance, subsidiary maintenance, compliance, and equity plan operations.
  • Advising on SEC reporting and securities compliance, including periodic reports, proxy statements, various related filings such as section 16, and registration statements.
  • Developing corporate governance policies and procedures based on legal requirements.
  • Providing regulatory advice to the legal team, board, management, and shareholders, and assisting with various business transactions, e.g. USA and international legal filings.
  • Supporting disclosure and reporting processes, and responding to regulatory inquiries.
  • Staying updated on legal and regulatory issues affecting the company and industry, including corporate governance trends, SEC, and Nasdaq developments.
  • Assisting the Corporate Secretary preparing and reviewing resolutions and agendas.
  • Collaborating on legal, business, and administrative functions.



Qualifications


  • Licensed attorney with a Juris Doctor degree from an ABA-accredited law school.
  • Over three years of experience in corporate governance and securities law.
  • Experience in corporate law, governance, and compliance; international corporate governance management is a plus.
  • Knowledge of regulatory requirements, including SOX and the Securities Exchange Act.
  • Excellent verbal and written communication skills for effective collaboration.
  • Strong presentation skills for diverse audiences, including management, employees, external shareholders, and regulatory organisations.
  • Proficiency in Microsoft Word, Excel, PowerPoint, Outlook, and online legal research tools.
