Our firm specializes in representing technology and life sciences companies in Mergers & Acquisitions transactions as well as advising cryptocurrency and digital asset companies on a variety of innovative and novel transactions. Many of our clients are private, venture-backed companies who expect responsive service, creative problem-solving, and effective use of technology.

Role Description

We're in need of a tax associate to join our team. Our firm highly values long-term attorney development and the ability to be responsive to our clients' needs. To that end, we work remotely and have reasonable work expectations, providing associates with significant autonomy and flexibility.

Qualifications

• Must have JD or LLM with excellent academic credentials and admission to at least one US state bar.
• Minimum of two years of transactional tax experience in a law firm, including drafting the tax aspects of purchase agreements in M&A transactions.
• Experience collaborating with other professionals and lawyers on complex transactions.
• Sound judgment, professional demeanor and the ability to juggle multiple transactions or projects.
• Ability to work independently and remotely.
• Strong writing and communication skills.
• Interest in working in a boutique law firm setting and learning more about client development.
• Experience in the technology, life sciences, digital asset, or financial services industries is a plus.
• Location in the SF Bay Area is a plus.
• Experience with cryptocurrency tax, international tax, partnership tax, drafting partnership and LLC agreements, or 409A and 280G in the context of M&A transactions is a plus.
