Legal Counsel | Private Equity

Our client is a leading private equity firm specializing in investments across various sectors. Their dynamic team is composed of industry experts and seasoned professionals who drive innovation and excellence in every aspect of our business. The Legal Counsel will provide legal support and advice on all aspects of private equity transactions, including mergers and acquisitions, fund formations, regulatory compliance, and portfolio management. This role requires a strategic thinker with strong negotiation skills and the ability to work effectively in a fast-paced, high-stakes environment.


Responsibilities:

  • Transaction Management: Lead and support private equity transactions from inception to closing, including structuring, negotiating, and documenting investments, acquisitions, and divestitures.
  • Due Diligence: Oversee and conduct legal due diligence for potential investments and acquisitions, identifying risks and recommending mitigation strategies.
  • Regulatory Compliance: Ensure compliance with relevant laws and regulations, including securities laws, corporate governance standards, and industry-specific regulations.
  • Fund Formation: Assist in the formation and management of private equity funds, including drafting offering documents, partnership agreements, and related legal documentation.
  • Portfolio Management: Provide legal support for portfolio companies, including corporate governance, financing, and operational matters.
  • Risk Management: Identify and mitigate legal risks associated with private equity transactions and portfolio management.
  • Stakeholder Engagement: Collaborate with internal stakeholders, including investment teams, finance, and operations, as well as external advisors and regulatory bodies.


Qualifications:

  • Juris Doctor (JD) or equivalent law degree from a recognized institution.
  • Admission to the bar in the relevant jurisdiction.
  • Minimum of 5 years of experience in private equity, M&A, or corporate law at a top-tier law firm or in-house legal department.
  • Strong knowledge of private equity structures, transactions, and regulatory environment.
  • Exceptional negotiation, drafting, and analytical skills.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Excellent interpersonal and communication skills, with the ability to build strong relationships with internal and external stakeholders.
  • High level of professionalism, integrity, and ethical standards.
