RWT Consulting Group's client is a major player in renewable energy, looking to bring on board a Legal Counsel for their Energy Division.


The Position:

For our new Energy business unit, we are looking for a Legal Counsel with significant transactional experience in the development, construction, financing, operation, and maintenance of renewable energy projects in the U.S., with a primary focus on drafting and negotiating EPC, procurement and supply agreements, to join our energy team reporting to the Head of Legal U.S and based in Austin, Texas.


Responsibilities

  • Comprehensive legal support to our developer/owner s business unit throughout the lifecycle of projects from inception through financial close, including drafting and negotiation of renewable energy project contracts (such as power purchase agreements, engineering, procurement and construction agreements, operation and maintenance agreements, asset management activities, lease and option to lease agreements and site control documentation, etc.).
  • Comprehensive legal support to our EPC Contractor s business unit with drafting and negotiation of EPC Agreements, procurement, equipment supply and service agreements; and other subcontracting and supply chain matters, amongst others.
  • Negotiation, mediation, and settlement of disputes between project owners, contractors, suppliers, and subcontractors and related litigation proceedings.
  • Participation in M&A transactions, including due diligence processes.
  • Corporate and filing matters.
  • Legal advice to ensure compliance with regulatory matters and internal policies.
  • Management of relationship with external advisers.


Qualifications

  • Juris Doctorate.
  • Member in good standing of a US State Bar (preferably, Texas).
  • 3-5 years of experience in the renewable/conventional energy industry in a top-tier law firm and/or in the legal department of a leading renewable energy company.
  • Significant experience representing utilities, or independent power producers in drafting and negotiating renewable projects-related contracts.
  • Significant experience representing constructors in drafting and negotiating construction contracts for procurement of EPC and ancillary services and contract management support.
  • Experience in real estate, land use, and insurance matters in connection with the development of greenfield projects;
  • Experience in permitting activities, interconnection, energy law and energy-related tax incentives; and/or
  • Familiarity with tax equity and debt project financing.


Professional Qualities:

  • Effectively manage tasks and deadlines independently.
  • Ability to interact with colleagues in a self-managed team structure.
  • Excellent interpersonal communication, decision-making, project management and negotiating skills.
  • Computer proficiency in Word, Outlook, Excel, and Power Point.
  • Fluent in Spanish is a plus.
